1. Agreement to Terms
By downloading, installing, or using Vector Studio ("Service" or "Application"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. Your use of Vector Studio indicates your acceptance of all terms and conditions.
2. About Vector Studio
Vector Studio is a local-first desktop application designed for spec-driven AI-assisted software development. The application runs on your machine, integrates with git repositories you control, executes commands in your environment, and optionally communicates with third-party AI providers you configure. Vector Studio is not a cloud service; it operates within your local filesystem and environment.
3. License Grant
Nexper Pty Ltd ("Company") grants you a personal, non-exclusive, non-transferable, revocable license to download and use Vector Studio subject to these terms. This license is for your internal use only and does not permit you to:
- Reproduce, modify, or create derivative works of Vector Studio or its code.
- Reverse engineer, disassemble, decompile, or attempt to derive the source code or architecture of Vector Studio.
- Remove, obscure, or alter any proprietary notices, labels, or marks.
- Distribute, sublicense, rent, lease, or assign Vector Studio to third parties.
- Use Vector Studio for commercial purposes without explicit written authorization.
- Use Vector Studio in violation of applicable laws or third-party rights.
- Circumvent or disable any security, authentication, or licensing mechanisms.
4. Intellectual Property Rights
Vector Studio, including all code, features, functionality, design, user interface elements, documentation, and trademarks, is owned by Nexper Pty Ltd or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. No intellectual property rights in Vector Studio are transferred to you by these Terms.
5. Your Use of Local Files and Repository
Vector Studio operates on files and repositories on your local machine. You are responsible for:
- Maintaining backups of all files and repositories you use with Vector Studio.
- Understanding that Vector Studio will read and modify files in your project when executing specifications.
- Reviewing all changes generated by Vector Studio before committing or shipping code.
- Ensuring you have authority to modify the files and repositories you open in Vector Studio.
- Using version control appropriately to manage changes and preserve history.
6. Your Content and Intellectual Property
You retain all ownership rights to code, files, specifications, and content ("Your Content") you create or store using Vector Studio. By using the Service, you grant Nexper Pty Ltd a limited license to use, access, and analyze Your Content solely to:
- Provide Vector Studio functionality to you.
- Improve and maintain the Service.
- Comply with legal obligations.
Vector Studio does not transmit Your Content to any external server by default. However, when you intentionally configure Vector Studio to use an external AI provider, Your Content (including project code, specifications, and context) will be transmitted to that provider's systems. You are solely responsible for understanding and consenting to each AI provider's data handling practices.
7. AI Provider Integration and Responsibility
Vector Studio integrates with third-party AI providers (including but not limited to Claude, OpenAI, Gemini, and others). When you use these integrations:
- You are responsible for obtaining and maintaining valid API keys and authentication credentials from each provider.
- You agree to comply with each AI provider's terms of service, usage policies, and pricing agreements.
- You are responsible for paying all fees charged by the AI provider for API usage.
- Content and context you send to AI providers are subject to that provider's privacy policy and data handling practices, not Nexper Pty Ltd's policies.
- Nexper Pty Ltd is not liable for any service interruption, data handling practices, pricing changes, or actions taken by third-party AI providers.
- You should review sensitive information before sending it to AI providers and are responsible for ensuring such transmission complies with your obligations (including employment agreements, data protection laws, and confidentiality requirements).
8. Git Integration
Vector Studio accesses and operates on git repositories on your local machine. By using Vector Studio with git:
- You acknowledge that Vector Studio can read git history, branches, and staging state.
- You understand that Vector Studio can create commits, modify branches, and change git state based on specifications you provide.
- You are responsible for reviewing git diffs and commit messages before pushing changes to remote repositories.
- You should configure appropriate git permissions and safeguards on your local machine.
9. Terminal and Command Execution
Vector Studio can execute terminal commands and scripts within your local environment as part of specification-driven workflows. You understand and accept that:
- Vector Studio executes commands with the permissions of your user account.
- You are responsible for reviewing any commands that will be executed before authorizing them.
- Nexper Pty Ltd is not liable for consequences of command execution, including data loss, system damage, or unintended modifications.
- You should not configure Vector Studio to run commands you do not understand or trust.
10. No Warranty
Vector Studio is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by law, Nexper Pty Ltd disclaims all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties that Vector Studio will meet your requirements or expectations.
- Warranties that Vector Studio will be uninterrupted, error-free, or secure.
- Warranties regarding the accuracy, completeness, or quality of code or changes generated by Vector Studio.
Vector Studio is a tool for generating code suggestions and changes based on specifications; it is not a replacement for testing, code review, security analysis, or your own judgment.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Nexper Pty Ltd, its founders, directors, employees, agents, and service providers shall not be liable for:
- Indirect, incidental, special, consequential, punitive, or exemplary damages.
- Loss of profits, revenue, data, or business opportunity.
- Damage to code, files, repositories, or systems caused by Vector Studio or its use.
- Costs associated with backup, recovery, or restoration of data.
- Any damages arising from third-party AI provider actions or data handling.
This limitation applies even if Nexper Pty Ltd has been advised of the possibility of such damages. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nexper Pty Ltd and its officers, directors, employees, agents, licensors, and service providers from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of Vector Studio or breach of these Terms.
- Your violation of any third-party rights or applicable law.
- Your Content or your use of Your Content.
- Changes made to your local files or repositories by Vector Studio based on specifications you provided.
- Your integration with third-party AI providers.
- Any damage caused by command execution authorized by you.
13. Acceptable Use
You agree not to use Vector Studio:
- To develop malware, ransomware, spyware, or other harmful software.
- To violate any law, regulation, or third-party rights.
- To access systems or data without authorization.
- To create misleading or deceptive code or software.
- To exfiltrate data or credentials from systems you do not own or have authority over.
- To develop tools designed to harm, harass, or defraud others.
14. Data and Privacy
Vector Studio operates primarily on your local machine. Nexper Pty Ltd does not collect, store, or transmit your project code or files without your explicit action (such as configuring an external AI provider). When you use external AI providers, those providers may collect and process data according to their privacy policies. Please refer to the Privacy Policy for additional information about how we handle data.
15. Updates and Changes
Vector Studio may receive updates, patches, or new versions. Updates are provided "as is" without warranty. You are responsible for testing updates before deploying them to critical environments. Nexper Pty Ltd may modify or discontinue features or the Service at any time, though we will attempt to provide notice of material changes.
16. Termination of License
Your license to use Vector Studio is terminated immediately if you violate these Terms. Upon termination:
- You must stop using Vector Studio immediately.
- Your right to use Vector Studio ceases.
- Your project data and files remain on your local machine and are not deleted by Nexper Pty Ltd.
Nexper Pty Ltd may also terminate or suspend your access to Vector Studio (if applicable) for any reason, with or without notice.
17. Third-Party Content and Links
Vector Studio may reference or link to third-party websites, documentation, or resources. Nexper Pty Ltd does not endorse, control, or assume responsibility for third-party content. Your use of third-party services is governed by their terms and privacy policies.
18. Feedback and Suggestions
If you provide feedback, suggestions, or ideas about Vector Studio, Nexper Pty Ltd may use such feedback without restriction or obligation to you. You are not entitled to compensation for any feedback you provide.
19. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect to the extent permitted by law.
20. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles. Any disputes arising from or related to these Terms or your use of Vector Studio shall be subject to the exclusive jurisdiction of the courts of Australia. Before initiating any legal action, you agree to attempt to resolve disputes informally by contacting Nexper Pty Ltd.
21. Entire Agreement
These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Nexper Pty Ltd regarding Vector Studio and supersede all prior negotiations, representations, understandings, and agreements, whether written or oral.
22. Amendment of Terms
Nexper Pty Ltd reserves the right to amend these Terms at any time by posting the amended Terms on the Vector Studio website. Your continued use of Vector Studio following notification of changes constitutes your acceptance of the amended Terms. It is your responsibility to review these Terms periodically for updates.
